Define the order before accepting it

Private-label and wholesale abaya orders become safer when the commercial terms describe the actual product and the decisions around it. Start with the approved design codes, measurement chart, fabric and shade references, decoration artwork, size curve, quantity by variant, labels, packaging, destination, and required stock date. Attach a dated sample reference and give the file a revision number.

State which details are fixed and which may be recommended by the manufacturer. A private-label order should identify logo artwork, label placement, care information, hangtags, and packaging presentation. A wholesale order may use standard labeling, but the buyer still needs a clear product and packing specification.

Quantity and minimums

Write the quantity by design, color, and size rather than only the total. Confirm the agreed minimum order quantity, whether sample units are separate, how mixed sizes are allocated, and what happens if a variant changes after approval. Do not treat an informal message as permission to combine unrelated designs or shades.

Payment, approval, and revisions

Record the payment stages, invoice details, and the event that triggers each stage. Confirm when sampling starts, who approves the sample, how many revision rounds are expected, and whether a revision affects timing or cost. A revision log should show old version, new version, date, reason, and approver.

Specify the production release gate: no bulk work begins until the authorized person approves the physical standard and associated files. Name the checkpoint for first sewn pieces and decorated panels. State how nonconforming goods are identified, corrected, reworked, replaced, or accepted under the agreed process.

Packing, inspection, and freight

Describe individual packing, labels, cartons, carton marks, quantity reconciliation, and protection for embellished pieces. Confirm whether the buyer may inspect directly or appoint an inspection service, and when findings must be reported. For freight, identify origin, destination, booking party, consignee, transport assumption, insurance decision, and responsibility for destination documents or charges. Local requirements should be checked with the importer or broker.

Confirm the communication route

Name the single commercial contact, production approver, label approver, and receiving contact. State which channel carries binding changes and where the current files live. This avoids a situation in which a casual message changes a shade or quantity while production is using an older document. Date every confirmation and acknowledge decisions that affect cost or timing.

A term sheet both teams can use

Finish with contacts, approval owners, dates, and a list of attachments. Send the signed or confirmed version to production, buying, and fulfilment so nobody works from a superseded message.
